Thank yo ufor your answers!!!!
All this time I was trying to solve this annoying nonesence!!!
Alpax: that is the thing: it was not some unknown pack - vice versa : all i did was installing a fresh KLite Megapack (Media Player Classik included)- which is in my opinion the best solution for all the audio/video files -
well i just had a fresh windows installed (winborg july 08) + installed the latest above mentioned megapack - the same story - my video files (which have .mts extension ) only load one CPU.......
it was not like that with a previous versions of klite megapack...... - i give up
This is the details about the video that i am trying to playback:

I do not think that that info is very accurate - for one i put a setting in the camera to shoot in progressive (30p) mode and it shows that the clip is interlaced (actually that is why i bought the camera - i have tried hd interlaced and they are joke..
Stanislav: at the time of the screenshot my pc was on for about 3 weeks with e-mule downloaded about 100 gig during that time...
after the restart (and without emule) it looks like that:
Stanislav, please, teach me: how do i know that i am running low on memory!?! BTW i have 2 gig ram running winxp sp3...
P.S. i wander what people are using for those power hungry h264, mkv, etc video files!?!?
